Terms of Service

1. Acceptance of Terms

By accessing or using Care Assistant Pro ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users of the Service, including administrators, caregivers, and any other individuals who access the platform on behalf of an agency.

2. Description of Service

Care Assistant Pro is a cloud-based workforce management platform designed for in-home care agencies. The Service provides scheduling, shift tracking, clock-in/out management, payroll reporting, billing, care plan management, and notification features to help agencies manage their operations and caregivers.

3. User Accounts

By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your password.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

Care Assistant Pro offers a free tier and a paid Pro subscription plan. By subscribing to the Pro plan, you agree to the following billing terms:

  • Free tier: Agencies with up to 3 active clients may use the Service at no charge. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.
  • Pro plan pricing: The Pro plan is billed at $299.99 per month, which includes up to 10 active clients. Each active client above 10 is billed at an additional $9.99 per month.
  • Billing cycle: Subscriptions are billed monthly on the 1st of each month based on your current active client count at the time of billing.
  • Prorated charges: When you first subscribe to the Pro plan, a prorated charge will be applied for the remainder of the current billing month based on the number of days remaining.
  • Payment method: A valid payment method must be on file to maintain an active Pro subscription. Payment is processed by Stripe, Inc. on our behalf.
  • Failed payments: If a payment fails, we will notify you and provide a grace period of 7 days to update your payment method. If payment is not resolved within the grace period, access to certain platform features may be restricted until the balance is resolved.
  • Refunds: All subscription charges are non-refundable except where required by applicable law.

5. Cancellation

You may cancel your Pro subscription at any time from within the platform. Upon cancellation:

  • You will retain full Pro access through the end of the current billing period.
  • No further charges will be made after cancellation.
  • At the end of the billing period, your account will revert to the free tier. If your agency has more than 3 active clients at that time, clients above the free tier limit will be set to inactive.
  • You may resubscribe to the Pro plan at any time.

6. Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorize Care Assistant Pro to charge your payment method for applicable subscription fees and agree to Stripe's Terms of Service (stripe.com/legal) and Privacy Policy (stripe.com/privacy). Care Assistant Pro does not store your full payment card details on our servers.

7. SMS Notifications

Care Assistant Pro offers optional SMS notifications for shift updates, schedule changes, and important operational alerts. By opting in to SMS notifications, you agree to the following:

  • Message frequency: Message frequency may vary depending on your shift schedule and agencyal activity.
  • Message and data rates: Standard message and data rates from your mobile carrier may apply.
  • Opt out: You can opt out of SMS notifications at any time by replying STOP to any message, or by updating your preferences in your Account Settings.
  • Help: Reply HELP to any SMS message for assistance, or contact us through our website.
  • Supported carriers: SMS notifications are supported on all major U.S. mobile carriers.

SMS consent is not required to use Care Assistant Pro. All platform features are available without enabling SMS notifications.

8. HIPAA and Business Associate Obligations

Customer agencies using Care Assistant Pro may be Covered Entities under the Health Insurance Portability and Accountability Act (HIPAA). Care Assistant Pro operates as a Business Associate to such agencies and will execute a Business Associate Agreement (BAA) upon request.

Customer agencies remain solely responsible for their own HIPAA compliance obligations with respect to their clients, patients, and employees. Care Assistant Pro provides tools and infrastructure to support compliance but does not assume the compliance obligations of the Covered Entity.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Share your account credentials with unauthorized individuals.
  • Use the Service to store, transmit, or process data in a manner that violates applicable law or third-party rights.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information and is incorporated into these Terms by reference.

11. Limitation of Liability

To the maximum extent permitted by law, Care Assistant Pro and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service, including but not limited to loss of data, loss of revenue, or business interruption. Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Yolo County, California, in accordance with the rules of the American Arbitration Association.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment of fees, or for any other reason at our discretion with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections relating to limitation of liability, disclaimer of warranties, and governing law shall survive termination.

15. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on this page with a revised "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the modified terms.
